Samanta’s Terms of Use  

Welcome to Samanta Application 


The following term of Use  ( These “Terms of Use  ) govern your access to and use of the Samanta Mobile Application and Samanta websites, including any content, functionality and services offered on or through Samanta Mobile Application or Samnatapp.com, Samantapp.ie or Samantapp.co.uk (the ‘Site”) by Samanta Ltd , registered in the Republic of Ireland. 


Please read the Terms of Service carefully before you start to use the Site and /or the  applications.  By using the Site, opening an account or by clicking to accept or agree to the Terms of Use when this option is made available to you, you accept and agree, on behalf of yourself or on behalf of your employer or any other entity ( if applicable), to be bound and abide by these Terms of Use, Payment Terms found here, Privacy Policy found here and Confidentiality agreement found here  each of which are incorporated herein by reference. If you do not want to agree to these Terms of Use/ Privacy Policy/ Payment Terms  or Confidentiality Agreement you must not access or use the Site. 


This Site is offered and available to users who are 13 years of age or older. If you are under the age of 13 you may not use this Site or any services offered by Samanta . By using this Site, you represent and warrant that you are of legal age to form a binding contract and meet all of the foregoing eligibility requirements. If you do not meet all these requirements, you must not access or use the Site. 


The original language of these Terms of Service is English, as well as all the text throughout the Site, is English, any available translation is for convenience only. In case of conflicts between the original English version and any translation, the original version shall prevail. 


Key terms 


Buyers – are users who buy services from Samanta 

Business account – is a collaborative Buyer account, created via Samanta Business

Business Account Team Member- is any user that is invited or uses the Business Account 

Orders- are the formal agreements between the buyer and the Interpreter after a purchase was made from the Sellers page 

Sellers – are users, Interpreters who offer and perform services through Samanta 


Overview 


- Only registered users may use the services offered by Samanta. Registration is free. When registering for an account, you agree to provide us with true, accurate, complete and updated information and must not create an account for fraudulent or misleading purposes. You are solely responsible for any activity on your account and for maintaining the confidentiality and security of your password. We are not liable for any acts of omissions by you in connection with your account. 

– Services on Samanta are pre-set by Samanta and are not changeable by any users. Business accounts might avail of discounts by prior negotiations with Samanta and a written agreement must be obtained. 

-  Buyers pay Samanta in advance to create an order , the payment and available funds will be shown in the wallet section of the Buyer 

- Samanta uses a wallet system and the universal currency in the wallet is called credit. The credit translates into the value of euro currency and 1 credit equals to 1 euro. 

- Orders are purchased through the Call button on the selected Sellers profile 

- For fees and payments please read Payment Terms  

- Sellers must fulfill their orders and may not cancel orders on a regular basis or without a cause. Cancelling orders will affect Sellers’ reputation and status. 

- All Users may not offer or accept payments using any other method than using Samanta the  Site 


Sellers 

  • Sellers register as interpreters creating accounts on  Samanta site to allow the Buyers to hire them for their interpreting services 

  • Each interpreting service booked and successfully completed, will be immediately accredited to the seller's wallet with the right amount , calculated from the slots booked, minutes worked. 

  • Samanta accredits sellers wallet once the job was successfully completed

  • The Seller's ratings are calculated based on the order reviews posted by Buyers or Business Account Team Members. High ratings allow Sellers to obtain higher rankings in the search system. In certain cases, exceedingly low ratings may lead to the suspension of the Seller’s account.

  • For security concerns, Samanta, may temporarily disable a Seller’s ability to withdraw revenue to prevent fraudulent or illicit activity. This may come as a result of security issues, improper behaviour reported by other users, or associating multiple Samanta accounts to a single withdrawal provider.

  • Sellers are responsible for obtaining a general liability insurance policy with coverage amounts that are sufficient to cover all risks associated with the performance of their services.

  • Sellers may not ask Buyers to pay using any method other than through the  Samanta Site.  In case you have been asked to use an alternative payment method, please report it immediately to Customer Support email Support@Samantapp.com 

  • You may not ask for direct contact details of any Buyers , all contact must be made through Samanta platform. In case you have been asked for your contact details, , please report it immediately to Customer Support email Support@Samantapp.com 


       Users may not use Samanta for 


  • Fraudulent or illegal services 

  • Adult oriented services, pornographic, inappropriate/obscene

  • Spam, nonsense, or violent or deceptive content 

  • Content misleading to Buyers, Sellers or  others

  • Exceedingly low quality work

  • We don’t tolerate any discriminatory or racist behaviour. 

  • Users are required to have an appropriate username 

  • Users are required to provide only true information,  never mislead other users 

    Violations mentioned above, may result in the suspension of Users  accounts.


Buyer

  • You may not offer Sellers to pay, or make payment using any method other than through the  Samanta platform. In case you have been asked to use an alternative payment method, please report it immediately to Customer Support email Support@Samantapp.com 

  • You may not ask for direct contact details of any Sellers , all contact must be made through Samanta platform. In case you have been asked for your contact details, , please report it immediately to Customer Support email Support@Samantapp.com 


      Orders


  • Make sure you have sufficient  funds in your wallet to cover the payment for the service you want to choose . If you don’t have enough funds, you can make a safe  transfer to your wallet using your credit card, visa , Mastercard using our in app integrated service provider Stripe 

  • Calls can be made immediately if selected a Seller who is online , or orders can be pre booked, hours or days in advanced 

  • An order is considered successfully completed the moment the call is finished and marked completed by the Buyer. 

  • If a call is interrupted due to technical difficulties  or for any other reason, a redial call is available until the end of the time slot booked. 

  • Business customers may pre purchase a fixed prepaid deal, previously negotiated with Samanta sales or management team. 


Handling orders: 

  • When a Buyer orders a service,  the Seller is notified as a notifications on their mobile device. 

  • Instant calls to sellers can be made if the Seller has online status on his profile 

  • Sellers are required to be available in time for pre-booked calls. Booking reminders will be sent to buyers and sellers 10 minutes, 5 minutes and right before the booking

  • Sellers failing to respond to a booking will allow the Buyer to cancel the booking and book another available seller but the order will be marked  as late or failed and may harm the Seller’s status. 

  • Orders not commenced  by the Buyer will be charged if not cancelled in advance. 


Reviews 


  • Feedback reviews provided by Buyers after completing an Order are an essential part of Samanta’s  rating system. Reviews demonstrate the Buyer's overall experience with the Sellers and their service. Buyers are encouraged to communicate to the Seller any concerns experienced during their active order in regards to the service provided by the Seller.

  • Leaving a Buyer's feedback is a basic prerogative of a Buyer. Feedback reviews will not be removed unless there are clear violations of our Terms of Service and/or our Community Standards.

  • To prevent any misuse of our Feedback system, all feedback reviews must come from legitimate sales executed exclusively through the Samanta platform from users within our Community. Purchases arranged, determined to artificially enhance Seller ratings, or to abuse the Samanta  platform with purchases from additional accounts, will result in a permanent suspension of all related accounts.

  • Feedback comments given by Buyers are publicly displayed on a Seller’s profile page.



  • Users are allowed to leave reviews on Orders up to 10 days after an Order is marked as complete. No new reviews may be added to an Order after 10 days

  • Buyers my use their honest opinion without using words and expression which have sexual content ,  considered bullying or racist and discriminatory. 


     Disputes and cancellation 

  • Buyers are free to cancel pre booked orders up to 30 minutes before the start of the call

  • Sellers are free to cancel pre booked orders up to 60 minutes before the start of the call, but sellers must be aware that continuous cancelling orders without reason could damage their ratings on the platform 

  • Buyer might cancel an order if during the call the Seller does not speak the language or the dialect selected . In this situation the Buyer must communicate the seller the concern and the call must be ended within the first 30 seconds of the call and contact our customer service by raising a Dispute at the end of the call. 

  • Buyers and Seller must always maintain a professional attitude 

  • We encourage Buyers and Sellers to settle disputes among themselves. If for any reasons this fails after using our resolution centre, Users can contact our customer service for assistance 


     Basics


To report a violation of our Terms of Service and/or our Community Standards, User Misconduct, or inquiries regarding your account, please contact our Customer Support team

  • To protect our users' privacy, user identities are kept anonymous. Requesting or providing Email addresses, Skype/IM usernames, telephone numbers or any other personal contact details to communicate outside of Samanta in order to circumvent or abuse the Samanta messaging system or Samanta platform is not permitted.

  • Samanta does not provide any guarantee of the level of service offered to Buyer

  • Samanta does not provide protection for users who interact outside of the Samanta platform

  • All information and file exchanges must be performed exclusively on Samanta platform

  • Rude, abusive, improper language, or violent messages will not be tolerated and may result in an account warning or the suspension/removal of your account.

  • Samanta is open to everyone. Discrimination against a community member based on gender, race, age, religious affiliation, sexual preference or otherwise is not acceptable and may result in the suspension/removal of your account


     Reporting Violations


If you come across any content that may violate our Terms of Service and/or our Community         Standards, you should report it to us through the appropriate channels created to handle those issues as outlined in our Terms of Service.  All cases are reviewed by our Team


     Violations


Users may receive a warning to their account for violations of our Terms of Service and/or our Community Standards or any user misconduct reported to our Trust and Safety team. A warning will be sent to the user's email address and will be displayed for such users on the Site. Warnings do not limit account activity, but can lead to your account losing Seller statuses or becoming permanently disabled based on the severity of the violation.

Non-Permitted Usage


Adult Services & Pornography - Samanta does not allow any exchange of adult oriented or pornographic materials and services.


Inappropriate Behaviour & Language - Communication on Samanta should be friendly, constructive, and professional. Samanta condemns bullying, harassment, and hate speech towards others. We allow users a medium for which messages are exchanged between individuals, a system to rate orders, and to engage on larger platforms such as our Community Forum and Social Media pages.


Phishing and Spam - Members’ security is a top priority. Any attempts to publish or send malicious content with the intent to compromise another member’s account or computer environment is strictly prohibited. Please respect our members' privacy by not contacting them with offers, questions, suggestions or anything which is not directly related to their orders.


Privacy & Identity - You may not publish or post other people's private and confidential information. Any exchange of personal information required for the completion of a service can be provided,  Sellers further confirm that whatever information they receive from the Buyer, which is not public domain, shall not be used for any purpose whatsoever other than for the delivery of the work to the Buyer. Any users who engage and communicate off of Samanta will not be protected by our Terms of Service.


Authentic Samanta  Profile - You may not create a false identity on Samanta, misrepresent your identity, create a Samanta profile for anyone other than yourself (a real person), or use or attempt to use another user’s account or information; Your profile information, including your description, skills, location, etc., while may be kept anonymous, must be accurate and complete and may not be misleading, illegal, offensive or otherwise harmful. Samanta reserves the right to require users to go through a verification process in order to use the Site (whether by using ID, phone, camera, etc.).

Intellectual Property Claims - Samanta will respond to clear and complete notices of alleged copyright or trademark infringement, and/or violation of third party’s terms of service. 


Fraud / Unlawful Use - You may not use Samanta for any unlawful purposes or to conduct illegal activities.


Abuse and Spam- you may not use any abusive language or any spam 


Multiple Accounts - To prevent fraud and abuse, users are limited to one active Samanta account and one active Samanta Business account. Any additional account determined to be created to circumvent guidelines, promote competitive advantages, or mislead will be disabled. Mass account creation may result in disabling of all related accounts. Note: any violations of Samanta’s Terms of Service and/or our Community Standards is a cause for permanent suspension of all accounts.


Targeted Abuse - We do not tolerate users who engage in targeted abuse or harassment towards other users on Samanta.  This includes creating new multiple accounts to harass members through our message or ordering system.

Selling Accounts - You may not buy or sell your Samanta account.


Proprietary Restrictions


The Site, including its general layout, design and content, is exclusively owned by Samanta  ltd and protected by copyright and trademark law. Users have no right, and specifically agree not to do the following with respect to the Site or any part, component or extension of the Site (including its mobile applications): (i) copy, transfer, adapt, modify, distribute or reproduce it, in any manner; (ii) reverse assemble, decompile, reverse engineer or otherwise attempt to derive its source code, underlying ideas, algorithms, structure or organization; (iii) modify or create derivative works; (iv) remove any copyright notice, identification or any other proprietary notices, or; (v) use the Site in any manner that could damage, disable, overburden or impair the Site, or interfere with any other users’ enjoyment of the Site. Users also agree not to permit or authorize anyone else to do any of the foregoing.


Feedback Rights


To the extent that you provide Samanta with any comments, suggestions or other feedback regarding the Samanta platform or the Site as a whole, as well as other Samanta products or services (collective, the “Feedback”), you will be deemed to have granted Samanta an exclusive, royalty-free, fully paid up, perpetual, irrevocable, worldwide ownership rights in the Feedback. Samanta is under no obligation to implement any Feedback it may receive from users.


Confidentiality


Sellers must know that all the information disclosed by the Buyers and the third parties connected to the buyers are confidential. The Seller must  protect all  confidential information from unauthorized use and disclosure. Therefore, Sellers agree to treat any information received from Buyers as highly sensitive, top secret and classified material. Without derogating from the generality of the above, Sellers specifically agree to (i) maintain all such information in strict confidence; (ii) not disclose the information to any third parties; (iii) not use the information for any purpose except for delivering the ordered work; and (vi) not to copy or reproduce any of the information without the Buyer’s permission. General Terms


  • Samanta reserves the right to put any account on hold or permanently disable accounts due to breach of these Terms of Service and/or our Community Standards or due to any illegal or inappropriate use of the Site or services.

  • Violation of Samanta's Terms of Service and/or our Community Standards may get your account disabled permanently.

  • Users with disabled accounts will not be able to use Samanta platform.

  • Users who have violated our Terms of Service and/or our Community Standards and had their account disabled may contact our Customer Support team for more information surrounding the violation and status of the account.

  • Users must be able to verify their account ownership through Customer Support by providing materials that prove ownership of that account.

  • Samanta may make changes to its Terms of Service from time to time. When these changes are made, Samanta will make a new copy of the terms of service available on this page.

  • You understand and agree that if you use Samanta after the date on which the Terms of Service have changed, Samanta will treat your use as acceptance of the updated Terms of Service.


User Generated Content


User Generated Content ("UGC") refers to the content added by users as opposed to content created by the Site. All content uploaded to Samanta by our users (Buyers and Sellers) is User Generated Content. Samanta does not check user uploaded/created content for appropriateness, violations of copyright, trademarks, other rights or violations and the user uploading/creating such content shall be solely responsible for it and the consequences of using, disclosing, storing, or transmitting it. By uploading to, or creating content on, the Samanta platform, you represent and warrant that you own or have obtained all rights, licenses, consents, permissions, power and/or authority, necessary to use and/or upload such content and that such content or the use thereof in the Site does not and shall not (a) infringe or violate any intellectual property, proprietary or privacy, data protection or publicity rights of any third party; (b) violate any applicable local, state, federal and international laws, regulations and conventions; and/or (c) violate any of your or third party’s policies and/or terms of service. We invite everyone to report violations together with proof of ownership as appropriate. Reported violating content may be removed or disabled.

Furthermore, Samanta is not responsible for the content, quality or the level of service provided by the Sellers. We provide no warranty with respect to the work, their delivery, any communications between Buyers and Sellers. We encourage users to take advantage of our rating system, our community and common sense in choosing appropriate services. 


By offering a service, the Seller undertakes that he/she has sufficient permissions, rights and/or licenses to provide, sell the service that is offered on Samanta . 


 

 

Samanta Business

1. General. 

Samanta Business Accounts is a freelance platform tailor-made for larger teams and businesses. Through Samanta Business Accounts, businesses can create and manage collaborative Business Accounts in which Team Members may share Orders, use a shared payment method, track orders , and consolidate feedback—all in one place.

 

2. Account. 

In order to access and use Samanta Business Account you must first register and create an account on Samanta  (“Business Account”). When opening a Business Account you represent and warrant that you are authorized to bind the Client to these Samanta Business Terms and you agree to these Samanta Business Terms on your behalf and on the Client’s behalf.

 

3. The Client. 

Upon completion of your registration to Samanta Business, the Business Account will be created for your organization. The term “Client” or “Buyer” shall refer to your organization, which can be any type of business (for example, LLCs, LLPs, corporations, partnerships, sole proprietorships, non-profit organizations). The Client shall be the sole and exclusive owner of the Business Account including any data, Orders and deliveries. In case of a dispute regarding the identity of the Client, Samanta  reserves the right to determine the identity of the Client at its sole discretion, whether or not an independent investigation has been conducted by us. However, if we cannot make such determination (as we may deem in our sole discretion), we reserve the right to avoid doing so and/or suspend the Business Account, without liability to you or to any other party. We reserve the right to request from you or the Admin any form of verification we deem necessary for this purpose.

 

4. Admin. 

The first user opening a Business Account will automatically become the administrator of the Business Account (“Admin”). Samanta reserves the right to change the Admin of the Business Account at its sole discretion. Samanta may request such information as it deems appropriate in order to change the identity of the Admin. If we believe (at our sole discretion) that we cannot change the identity of the Admin, we reserve the right to avoid doing so and/or suspend a Business Account, without any liability.

 

5. Account members. 

There are various types of users in a Business Account (“Team Members”) and their permissions may vary. For the avoidance of doubt, all users in a Business Account, including Admins, are deemed Team Members.

Team Members have access to information available in the Business Account and other Team Members, including Orders, purchases, deliveries made within the Business Account and information about other Team Members.

When inviting other Team Members to a Business Account, such Team Members are authorized to use the Business Account on behalf of the Client, including the use of the shared payment method.

By granting other Team Members permissions under a Business Account, you on behalf of the Client, represent and warrant that: (a) such Team Member is authorized to act on the Client’s behalf; and (b) you and/or the Client are fully responsible and liable for such Team Member’s acts and omissions, including for Orders and payments performed by other Team Members via the Business Account.

If a Team Member is removed from a Business Account or if the Team Member deactivates their Team Member Account they will not be able to access the Business Account or otherwise register with Samanta.

 

6. Undertakings

 By creating a Business Account or by joining a Business Account as a Team Member, Admin or otherwise, and creating a Team Member account (“Team Member Account”), you: (i) agree to provide us with accurate, complete, and current registration information; (ii) acknowledge that it is your responsibility to ensure that your password remains confidential and secure; (iii) agree that you are fully responsible for all activities that occur under your Business Account as well as your Team Member Account; and (iv) undertake to promptly notify us in writing if you become aware of any unauthorized access or use of your Business Account and/or your Team Member Accounts and/or any breach of these SAMANTA  Business Terms. The Client and you, jointly and severally, will be responsible and liable for any losses, damages, liability and expenses incurred by us or a third party, due to any unauthorized usage of the Business Account by either you or any other user or third party on your behalf.

 

7. Closure and disabling of accounts

A Business Account can only be closed by the Client, or the Admin on Client’s behalf. Upon closure of a Business Account, all related Team Member Accounts should be removed from the Business Account.

Samanta reserves the right to put a Business Account or any Team Member Account on hold or permanently disable accounts should we notice any activity that we determine to be fraudulent or inappropriate (including by any Team Member), or due to breach of these Samanta Business Terms, the General Terms of Service and/or our Community Standards, by the Business Account (including by any Team Member). Users with disabled accounts, will not be able to use Samanta  or otherwise use Samanta as registered users.

 

 

  Purchasing On Samanta

1. Payment Terms. Please refer to the Payment Terms for making payments for Services ordered through the Samanta marketplace and to learn about fees and taxes.

2. Payment options. Samanta is using Stripe, in app integrated, a secure third party that processes payments.  Please see Stripe company Privacy Policy and Terms of use Here

3. Samanta Business Wallet- a balance added in advance to the Business Account, by use of the payment method made available

4. Unused Balance in the wallet . Samanta will refund unused funds available in the Wallet within 30 days following the end of the month in which the Client requested the refund, and following a deduction of any cost and fee that may apply on Samanta in the course of processing the refund. Samanta  will refund the same payment method used to deposit funds to the Business Account, or otherwise used to make payments via the Business Account, unless requested otherwise. Samanta reserves the right to request such authentication information as it may deem necessary to process the refund request.

5. Budget Limitations and Payment Approval. Team Members may be subject to certain budget limitations or payment approvals, as may be defined by the Company Admin.

6. Currencies. The Admin will determine the payment currencies for all purchases made through a Business Account.

7. Invoice. Invoices for purchases made by Team Members will be issued in the name of the Client.

8. Non Circumvention.

      1. You agree to use Samanta  as your exclusive method to make payments for all Service ordered from Sellers, and not to circumvent the payment methods offered on Samanta . This non-circumvention requirement applies to all Buyers, Clients, as well as all Team Members. Without derogating from the generality of the above, you may not offer or solicit (or accept any offer or solicitation from) any parties introduced through Samanta to contact, engage with, or pay outside of Samanta. You agree to notify Samanta immediately if a Seller proposes that you make payments other than through the Site.

     2.You acknowledge and agree that a violation of this non-circumvention requirement is a material breach of the Samanta  Business Terms and may lead to a permanent suspension of the violating Business Account and/or Team Member Account.

      3. In light of the difficulties in measuring or estimating the damage which may be incurred by Samanta as a consequence of any non-circumvention breach, you hereby agree to pay Samanata  liquidated damages in the amount of €10.000 (the “Liquidated Damages“) if Samanta determines, in its sole discretion, that you have violated this Non Circumvention Section. You acknowledge and agree that the Liquidated Damages are a reasonable approximation of such damages and do not constitute a penalty.

      4. Samanta may, to the maximum extent permitted by law (i) charge your Samanta Wallet and/or payment method the Liquidated Damages or send you an invoice for the Liquidated Damages, which you agree to pay within 30 days, and (ii) charge you (in the same manner) for all reasonable expenses, including solicitors fees, related to investigating such breach and collecting such fees.

 

9. Orders.

1. An Order is completed when a call is terminated .

2. We encourage Buyers and Sellers  to try and settle Order conflicts amongst themselves. If such efforts fail or if you encounter non-permitted usage by other users, you can contact Samanta’s Customer Support department for assistance.

Payment Terms 

 

The following terms (these “Payment Terms”) govern payments you make or receive through Samanta (the “Site”), operated by Samanta  Ltd  registered in the Republic of Ireland.


Please read these Payment Terms carefully before making or receiving payments through the Site. By making or receiving payments through the Site, you accept and

agree, on behalf of yourself or on behalf of your employer or any other entity

(if applicable), to be bound and abide by these Payment Terms. These Terms are

supplemental to Samanta’s General Terms of `service , Samanta Business Account

Terms of Use as applicable (collectively, the “Terms of Use ”)

Key Terms

Capitalized terms used but not defined herein shall have the respective meanings given to them in the Terms of Use. 


Samanta Wallet -  is the aggregated amount of your Revenue as a Seller and/or available funds to use /returned payments from cancelled orders as aBuyer and/or your Samanta Business wallet  (as defined in the Samanta  Business Account Terms of Service).


Payment  Services Provider(s)- are service providers that provide payment services to Buyers and Sellers in connection with the Samanta platform, including with respect to collection of funds from Buyers in connection with purchases, remittance and withdrawal of funds to Sellers, currency exchange services in connection with

payments and withdrawals in local currencies, and the holding of funds in connection with Samanta Wallets.


Revenue is the money that Sellers earn from completed orders and can withdraw, subject to these Terms.

General 


- Each order placed by the buyer has a charge which will be deducted from the buyer's wallet at the time of order. The orders are charged in time slots of 15, 30, 45 and 60 minutes. Before the end of a timeslot selected, there is an option to extend the call if the seller has availability. This extension of call will be charged per every minute started in direct  percentage of the hourly rate.  

- sellers are awarded commission for each completed call. The hourly rate is €20 per 60 minutes call, calculated and awarded in direct percentage of the time slots and minutes selected by the buyer when a call is finished and marked completed. 

-The overall price of each time slot is determined by Samanta and Samanta reserves the right of price changes at their own discretion without the previous notice of any of the parties.  

- The time slots available are 15, 30, 45 and 60 minutes with extensions of calls available. 

Commissions awarded to the seller as per below. 

15 minutes – 25% of the 60 minutes value 

30 minutes – 50% of the 60 minutes value 

45 minutes – 75% of the 60 minutes value 

60 minutes – 100 % of the 60 minutes value 

Extension times are awarded by each minute started per percentage of the 60 minutes rate. 

- Each successfully completed order, accredits your account wallet with commission revenue as outlined in your payment offers

- each order placed will be charged. If the user does not accept an order the amount deducted from the buyer's account will be reverted to the buyer. 

- Samanta accredits Sellers commission once an order is successfully completed. See the "Orders” section in the Terms of Service for a definition of a completed order.

- If an order is cancelled (for any reason), there will be no funds awarded to the Seller  

- Sellers are responsible for paying any direct or indirect taxes, including any GST, VAT or income tax, which may apply to them depending on residency, location or otherwise, under provisions of their jurisdiction. Sellers represent and warrant that they comply, and will comply at all times, with their obligations under income tax provisions in their jurisdiction. 

-The price the Buyer is charged is inclusive of all such taxes and charges that may apply to the Sellers.

- Your existing balance in your Wallet will be automatically applied to your next purchase.

- You agree to receive invoices and/or payment receipts from Samanta in electronic form as PDF documents, by email or through the Site.

- To protect against fraud, unauthorized transactions (such as money laundering), claims, or other liabilities, payment information in connection with withdrawals is collected by either Samanta or Samanta’s Payment Services Providers. Payment Services Providers may also collect such other information as necessary for the purpose of processing withdrawal payments.  Samaanta is not exposed to the payment information provided to Payment Services Providers, and this information is subject to the privacy policy applicable to the Payment Service Provider. - By using any payment method and/or providing payment details for making purchases on Samanta, you represent and warrant that: (a) you are legally authorized to provide such information; (b) you are legally authorized or have permission to make payments using the payment method(s); (c) if you are an employee or agent of a company or person that owns the payment method, you are authorized by that company or person to use the payment method to make payments on Samanta; and (d) such actions do not violate any applicable law.


- Appointment as Limited Payment Collection Agent: Seller hereby appoints Samanta as Seller’s limited authorized payment collection agent solely for the purpose of accepting payments (via its secure  third party Payment Services Provider, if applicable) from Buyer, and remitting the commission payments to Seller. . Buyer’s payment obligation to Seller will be satisfied upon receipt of payment by Samanta (or its Payment Services Provider, as applicable), and Samanta (via its Payment Services Provider, as applicable) is responsible for remitting the funds to the Seller in the manner described in these Payment Terms. In the event that Samanta  (via Payment Services Provider) does not remit any such amounts to Seller, the Seller will have recourse only against Samanta and not the Buyer directly. Seller agrees that Samanta may describe or otherwise reflect the terms contained herein in any terms of service, receipts, disclosures, or notices including, but not limited to, receipts provided to Buyers that Samanta may deem necessary or prudent.

- Samanta partners with Payment Services Providers for purposes of collecting payments from Buyers, transferring such payments from Buyers to Sellers, and holding funds in connection with Samanta Wallets. All payments services in connection with the withdrawal of funds on the Samanta  platform are performed by Samanta’s Payment Services Provider  Stripe. 

 

Withdrawing Revenues


- To withdraw your revenue, you must have an account with Samanta’s Payment Service Provider  Stripe , for the withdrawal methods listed below. All funds eligible for Withdrawal will be held in your wallet on the Samanta Site.  All payment services, including withdrawal services, will be provided by Samanta’s Payment Services Provider.

- Your Samanta profile can be associated with only one account from each Samanta withdrawal method. A Payment Service Provider withdrawal account can be associated with only one Samanta profile.

-Sellers may withdraw their revenues at any time from their wallet using Samanta’s withdrawal options (see Withdrawal Section below regarding payment terms). To withdraw your available revenue, you must click on the designated withdrawal provider to initiate the withdrawal process. 

-The withdrawal process is immediate from your Samanta wallet but the timeframe for the revenue  to reach your bank account depends on your third party bank service provider and our payment service provider. Samanta cannot be held responsible for any delay in the revenue reaching your bank account nor for any currency exchange or any other  taxes and fees associated with the withdrawal of any of this revenue.

- For security concerns, Samanta may temporarily disable a Seller’s ability to withdraw revenue to prevent fraudulent or illicit activity. This may come as a result of security issues, improper behaviour reported by other users, or associating multiple Samanta accounts to a single withdrawal provider.

- Withdrawals can only be made in the amount available to you.

- Withdrawals are final and cannot be undone. We will not be able to reverse this process once it has begun.

- In certain cases, Sellers may withdraw Revenues in several different currencies. All currency exchange services in connection with such withdrawals are performed by Samanta’s Payment Services Providers. Your Samanta Wallet  is always derived from its Euro € value and, therefore, the local currency amount of your Samanta Wallet may change daily in accordance with exchange rate fluctuations and also includes conversion fees. Sellers always have the option to withdraw Revenues in Euro €.

- Sellers will be able to withdraw their revenues from disabled accounts after a safety period of 90 days following full verification of ownership of the account in question, from the day of the last cleared payment received in their account and subject to Samanta's approval.

 


Withdrawal Methods

 

- Withdrawals are performed in the app integrated  Samanta’s Third party Payment provider * Stripe -Additional fees may apply based on your location and currency.

- Samanta is not responsible for any these fees or exchange rates which may apply 

- On the wallet page, the application will ask to “connect or create stripe ID”. Once a user click on this they will be redirected to a separate stripe link with their basic details which would have been pre populated from our application’s end. At this time the user will be ask to do basic KYC (verification by Identity proof and address proof on the stripe link) and linking their bank account to their stripe ID according to sellers country specification. Once this is done and submitted, the  will be redirected to the application, where upon any withdrawal, the amount will be paid out/ transferred to their respective bank account through their stripe account. 

- Samanta does not hold any of the critical data related to any of the users banking details or Identification proof. Samanta is not responsible for such in any instances.

Local Currencies

- You can pay on Samanta in several different currencies which will be exchanged to € euro.  Unless stated otherwise, you will be charged in the currency displayed on the payment page. All currency exchange services in connection with payments in local currencies are performed by Samanta’s Payment Services Providers. In certain cases, however, when certain currencies are not supported by certain payment methods, you will be charged in € Euro even if the price is displayed in another currency. In any event, the actual charged amount (in the actual payment currency) will be clearly disclosed to you before you complete the payment.

- Note that all prices on Samanta are derived always from their original € Euro price and, therefore, non-€ Euro currency prices may change daily in accordance with exchange rate fluctuations and may also include conversion fees. Buyers always have the option to pay in € Euro by changing their selected displayed currency.

- If you paid for an Order in a currency other than € Euro and your Order was later cancelled for any reason, the amount returned to your Samanta Wallet would be based on the exchange rate as of the date of cancellation. Samanta wallet Credits

In certain instances Samanta may offer you credits, either for promotional

offered on the Site. Your available Credit balance will appear in your accounts

wallet. Your valid Credit will be automatically applied to your next purchase

and can be viewed in your order summary after you place the order. Credits are

not redeemable for cash, have no cash value and are non refundable. Once used, credits

may not be returned to your account even if your Order gets cancelled. Credits

may be subject to additional conditions and restrictions as will be disclosed

to You upon receipt of the Credits. Credits may be voided in the event of

Promo Codes


From time to time we may offer you promo codes for purchasing services offered on

the Site, on special discounts. Promo Codes are valid only for purchases on Samanta

and are subject to different time limitations and will expire after their

predefined term. To exercise your promo code, simply enter the code on the

checkout page. If you fail to do so, your purchase will not be eligible for the

discount. Promo codes are limited to one use per user and may not be used or

combined with any other promotion. For orders that are composed of one or more milestones,

the promo code will apply to the first milestone only. Promo Codes do not apply

Taxes

- Samanta may be required by applicable laws to charge users with indirect taxes (such as Sales Tax, VAT or GST) or to withhold taxes. Any amount Samanta will be required to collect will be in addition to the purchase amount and any other fees payable by the Buyer, and any amount Samanta will be required to withhold will be deducted from the Seller’s revenue, as required by applicable laws.

- Indirect taxes are in addition to the price shown on the site, and in any event, any such taxes will always be displayed to the Buyer before payment. 

- Users are responsible for paying any direct or indirect taxes, including any GST, VAT, or income tax, which may apply to them depending on residency, location or otherwise, under provisions of their jurisdiction.

Basics

- Order cancellations can be performed on Samanta, when eligible,

- by Customer Filing a transaction dispute or reversing a payment through your payment provider or your bank is a violation of these Payment Terms. Doing so may get your account temporarily or permanently disabled. Note: Once you have filed a dispute with your payment provider, the funds will be ineligible for a refund due to our obligations towards the payment provider.

- In the event that you encounter an issue related to the service provided in an order, you are encouraged to use the Site's dispute resolution tools to attempt to resolve the matter.

- Samanta, through its Payment Services Provider, reserves the right to cancel orders or place funds on hold for any suspected fraudulent transactions made on the Site.
